1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of StreetSmart's employer-facing recruiting platform and related services (collectively, the "Platform"). By creating an account, you agree to these Terms. If you do not agree, do not create an account or use the Platform.

StreetSmart Solutions, Inc. is a Delaware corporation operating in the State of California.

2. Eligibility

By creating an account, you represent that you are authorized to enter into a binding agreement on behalf of yourself or the organization you represent, and that your use of the Platform complies with all applicable laws and regulations.

3. Platform Description

StreetSmart provides a recruiting platform that sources, screens, and surfaces vetted college candidates for internship, full-time, and contractor roles. StreetSmart is not a staffing agency, employer of record, or party to any employment or contractor agreement between you and a candidate. All hiring decisions, employment terms, compensation, and contracts are solely between you and the candidate.

4. Placement Fees

StreetSmart charges placement fees as follows:

Intern Placement: $250 per hire, with a 30-day refund guarantee.

Full-Time and Contractor Placement: 1% of the candidate's first year salary, with a 90-day refund guarantee.

Fees are due upon confirmation of a hire made through the Platform. A hire is confirmed when an offer extended to a candidate sourced through StreetSmart is formally accepted by that candidate.

5. Refund Guarantee

If a placed candidate does not work out within the applicable guarantee window (30 days for interns, 90 days for full-time and contractor placements), StreetSmart will issue a full refund of the placement fee, provided you notify StreetSmart in writing within the guarantee window. Refunds will not be issued for terminations resulting from reasons unrelated to candidate fit or performance, including but not limited to business closures, role eliminations, or budget changes.

6. Payments

All fees are invoiced by StreetSmart and payable directly to StreetSmart. You are solely responsible for all compensation, benefits, taxes, and other obligations owed to candidates you hire. StreetSmart is not responsible for any payment obligations between you and any candidate.

7. Employer Obligations

By using the Platform, you agree to: (a) provide accurate information about your organization and open roles; (b) use candidate information solely for recruiting purposes; (c) comply with all applicable employment, anti-discrimination, and labor laws; (d) promptly notify StreetSmart upon hiring any candidate sourced through the Platform; and (e) not circumvent StreetSmart's fee structure by engaging candidates sourced through the Platform outside of the Platform.

8. Intellectual Property and Data

StreetSmart owns all rights to the Platform, including its scoring framework, search results, candidate rankings, and any data generated by Platform activity. You retain no rights to Platform-generated data beyond your use of the Platform in accordance with these Terms. Candidate profile information remains the property of the candidate. You may not scrape, copy, or redistribute any data from the Platform.

9. Confidentiality

Candidate information made available through the Platform is confidential and provided solely for recruiting purposes. You agree not to share, sell, or otherwise disclose candidate information to third parties.

10. Limitation of Liability

To the fullest extent permitted by law, StreetSmart and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or any hiring outcome. The Platform is provided "as is" and "as available" without warranties of any kind. StreetSmart does not guarantee the availability, accuracy, or fitness of any candidate for any role.

11. Indemnification

You agree to indemnify and hold harmless StreetSmart and its affiliates, officers, employees, and agents from any claims, damages, or expenses arising from your use of the Platform, your hiring decisions, your employment of any candidate, or your violation of these Terms.

12. Termination

StreetSmart reserves the right to suspend or terminate your account at its sole discretion for violations of these Terms or conduct deemed harmful to the Platform or its candidates. Outstanding fee obligations survive termination.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in California.

14. Changes to These Terms

StreetSmart may update these Terms at any time. Continued use of the Platform following notice of any update constitutes your acceptance of the revised Terms.
